TERMS AND CONDITIONS OF SALE

These terms and conditions of sale govern the sale of I-Sense monitors and all reports and notification services relating to data gathered by Soft Switching Technologies Corporation ("SoftSwitching") from the I-GRID®. The I-GRID® Terms and Conditions of Use also apply to the reports and notification services that may be purchased on this website.

1. Shipping Charges. Unless otherwise stated, freight and shipping fees will be charged for shipments to a customer's place of business anywhere in the United States, using a carrier of our choice. Any extra charges incurred for additional services, or special handling by the carrier, must be paid by the customer. Title and risk of loss pass to the customer upon tender of shipment to the carrier. If product is damaged in transit, customer must file claim with the carrier.

2. LIMITED WARRANTY. ALL PRODUCTS SOLD ARE WARRANTED BY SOFTSWITCHING, FOR USE BY PURCHASING CUSTOMER ONLY, AGAINST DEFECTS IN WORKMANSHIP OR MATERIALS UNDER NORMAL USE FOR A PERIOD OF 6 MONTHS FROM REGISTRATION ON THE I-GRID® WEBSITE OR 1 YEAR FROM DATE OF PURCHASE, WHICHEVER IS SHORTER. ANY PRODUCT OR SERVICES, EXCEPT ANY BATTERIES, WHICH ARE DETERMINED BY SOFTSWITCHING TO BE DEFECTIVE IN MATERIAL OR WORKMANSHIP THAT ARE RETURNED TO SOFTSWITCHING, SHIPPING COSTS PREPAID, WILL BE REPAIRED OR REPLACED AT SOFTSWITCHING'S SOLE OPTION. REPAIR OR REPLACEMENT WILL CONSTITUTE CUSTOMER'S EXCLUSIVE REMEDY.

3. WARRANTY DISCLAIMER. SOFTSWITCHING MAKES NO WARRANTY, EXPRESS OR IMPLIED, OTHER THAN AS SET FORTH IN THE LIMITED WARRANTY STATEMENT IN PARAGRAPH 2. SOFTSWITCHING DISCLAIMS ANY LIABILITY FOR PRODUCT DEFECT CLAIMS THAT ARE DUE TO PRODUCT MISUSE OR MISAPPLICATION, AND MAKES NO WARRANTY THAT THE PRODUCT IS MERCHANTABLE OR FIT FOR A PARTICULAR PURPOSE.

4. LIMITATION OF LIABILITY. ANY LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS EXPRESSLY DISCLAIMED. SOFTSWITCHING'S LIABILITY IN ALL EVENTS IS LIMITED TO, AND SHALL NOT EXCEED, THE PURCHASE PRICE PAID.

5. Prompt Disposition. SoftSwitching will make a good faith effort to promptly repair a product that proves to be defective within the warranty period.

6. Amendments of Sale and Conditions of Sale. SoftSwitching may amend these Terms and Conditions at any time by posting them in the Terms and Conditions of Sale section of the website. Customers are bound by such provisions and should periodically review the Terms and Conditions.

7. Governing Law. The laws of the State of Wisconsin and the United States govern this Agreement. Customer consents to jurisdiction and venue in the courts of Dane County, Wisconsin or the Federal District court in the Western District of Wisconsin, for any claims arising out of this Agreement.
